Location: Oxford (remote working until post Covid)

Salary: £50-60k

The purpose of this role is to provide robust support for governance and risk activities within UPE, specifically to support NUKH board structures, group governance requirements and risk management.

The role-holder will play an important role in supporting the leadership team to effectively manage and mitigate business risk and will act as a subject matter expert on governance and risk for the business.

Corporate Governance and Risk Manager Responsibilities:

Manage NUKH Board and RAC processes - maintain annual schedule of business, schedule meetings, agree agenda with Chairs, collate papers, action management, including acting as Secretary to the RAC
Develop, maintain, and deliver guidance and templates to the Board and its committees.
Act as business owner of our core governance documents, including the Governance Manual, and support the business in adhering to the Governance manual
Maintain up to date knowledge on external frameworks and guidance to enhance our overall governance including the Committee of University Chairs and others, attending and reporting back on events as required
Own the risk management process, supporting UPELT, college directors and functional heads in updating risk registers, challenging Senior Mgmt on risk assessment and mitigation and acting as a subject matter expert around risk management
Support EGM-F with securing Group approvals under DoA for projects and initiatives, including drafting board papers
Work with RAC chair, Group Head of Audit and Risk and outsourced Internal Audit provider to agree a programme of work, manage delivery and reporting of said work
Work with outsourced legal resource - identify issues requiring legal input and consider approach (internal review via Group, external support etc.)
Own liaison with external company secretary for all co-sec matters. Consider feasibility of in-housing company secretarial requirements for smaller entities in UK group.
Ensure awareness and compliance with Group policies in collaboration with Communications Manager
Provide horizon scanning for new legislation which may impact UPE and require additional policies/process. Support project work as needed meet any such new regulatory requirements.
Contribute to continual improvement business initiatives
Corporate Governance and Risk Manager Requirements:

Proven experience in a governance/risk/regulatory role
Commercially adept, with a deep understanding of change management
Experience working with cross-functional teams, across geographic regions and time-zones
Experienced at building relationships and communicating effectively with senior stakeholders
Attention to detail and the ability to analyse and resolve complex, multi-faceted issues in a timely and effective manner
Experience of drafting papers, reports and templates to a high standard
Working to tight deadlines
Higher Education Industry experience beneficial, but not required
